The areas of corporate, labor and taxation law are combined into a single practice group with a view to focusing on the areas which tend to be most regularly associated with corporate establishment and maintenance. The core areas of competency in this practice group are the following:

Corporate Establishment
The Firm prides itself on providing clients with advice and foresight
which will minimize the costs of operations in Taiwan, including
costs associated with taxation, human resources and funding. It
is not the practice of the Firm to simply provide a standard corporate
establishment service. Rather, the corporate structure proposed
to a client will take into consideration a whole range of legal
and financial issues tailored to the needs of the client. Our
experience has proven that this careful full-service approach
proves to be the most economical approach.

Taxation
The Firm's taxation practice is focused on corporate tax planning.
The members of the Firm have been particularly active in recent
years in the area of tax planning relating to exit strategies involving
direct equity investors in Taiwan. In addition a key component of
all corporate establishment structures is taxation of operational
income, including corporate income taxation, taxation of dividends
and value added taxation on sales transactions.

Labor Law
The Firm's labor law practice quite frequently involves planning
in connection with mergers and acquisitions, with particular attention
to the provisions of Taiwan's Mergers and Acquisitions Law regarding
application of the Taiwan Labor Standards Law in transactions under
the M&A law.Hence the areas which are most frequently addressed
relate to large scale severance issues and transfer of employees
between enterprises. Members of this practice group stay abreast
of regulatory developments in labor law and regulation and maintain
close contacts with the labor regulatory agencies.
